Company liquidation and licence cancellation in the UAE

Company liquidation is the formal process of closing a UAE company. The owners resolve to dissolve it, a liquidator settles its affairs and reports, visas and registrations are cancelled, and the licensing authority cancels the licence. Any owner who no longer needs a company should close it this way instead of letting the licence expire.

Overview

A company that stops trading does not close by itself. The licence may lapse, but the legal entity, its visas, its establishment card, its tenancy and its tax registrations all remain. Returns continue to fall due and the owners stay responsible. Liquidation is the process that ends all of this in order and leaves the shareholders with documents showing that the company no longer exists.

For a mainland company with partners, the route in Dubai runs through a notarised resolution, a liquidator who accepts the appointment in writing, a published notice that invites creditors to come forward, and a final liquidation report. A sole establishment follows a shorter cancellation without a liquidator. Free zone companies apply to their own authority, which sets its own forms and clearances. The logic is the same everywhere: decide, settle, clear, cancel.

The order matters. Staff visas are cancelled before the establishment card, tax returns are filed before deregistration is approved, and the licence comes last. Caliph plans the sequence with you at the start, works with the appointed liquidator and tracks each clearance, so you are not left with an open file at one authority after the others have closed.

Why close the company with Caliph

The sequence planned before you start

We list every registration the company holds and set the order of cancellation, so one step does not block the next.

Liquidator and report coordinated

We work with the appointed liquidator on the acceptance letter, the published notice and the final report the authority asks for.

Visas and labour files closed correctly

Work permits, residence visas and the establishment card are cancelled in the right order, with staff settlements documented.

Tax registrations ended, not abandoned

We prepare the corporate tax and VAT deregistration applications once the final returns are in, working with your accountant.

Proof of closure for the owners

You receive the cancellation documents for the licence and for each clearance, which banks or authorities may ask for in the future.

What to have ready

  • Trade licence and Memorandum of Association
  • Passport copies and Emirates IDs of all shareholders
  • The shareholder resolution to dissolve the company and appoint the liquidator
  • A list of the employees and visas under the company
  • The latest financial statements or management accounts
  • Tax registration details for corporate tax and VAT
  • Tenancy contract and utility account details for the premises
  • Company bank account details, so the account can be closed at the end

Free zone authorities and some activities ask for extra clearances. Your consultant gives you the list for your company.

How company liquidation works

  1. We review what the company holds

Your consultant lists the licence, visas, tenancy, tax registrations, bank accounts and any outstanding obligations.

  2. Shareholders pass the resolution

The owners resolve to dissolve the company and name a liquidator. For a mainland company the resolution is notarised.

  3. Liquidator appointed and notice published

The liquidator accepts in writing, the authority records the liquidation and a notice is published so that creditors can submit claims.

  4. Staff and visas are cleared

Work permits and residence visas are cancelled, staff entitlements are settled and the establishment card is closed.

  5. Tax and other clearances are obtained

Final tax returns are filed, deregistration is applied for, and the tenancy, utilities and other accounts are closed.

  6. The liquidator issues the final report

When the notice period has passed, the liquidator confirms that claims have been dealt with and reports to the authority.

  7. The licence is cancelled

The authority cancels the licence and removes the company from its register, and the remaining bank account is closed.

Good to know

  • What you read here is general. Your tax adviser confirms the company's final tax position and returns.
  • A company in liquidation keeps its legal personality only as far as the liquidation requires, and the words under liquidation are added to its name.
  • The Federal Tax Authority approves deregistration only after every return has been filed and all tax and penalties have been paid.
  • A company that cannot pay its debts is in a different position from one closing voluntarily. Take legal advice before you start.

Questions people ask

What is the difference between cancelling a licence and liquidating a company?

Cancelling the licence is the last administrative act. Liquidation is the process before it, in which the company's assets, debts and obligations are settled under a liquidator. Companies with partners go through liquidation to reach cancellation. A sole establishment can usually cancel directly once its labour and other files are cleared.

Can I just let my trade licence expire?

You can, but that does not close the company. The entity stays on the register, visas and tax registrations remain open, and penalties for missed renewals and returns can build up. It can also cause difficulty when you apply for a new licence later. Formal closure is the safer route.

Do I need a liquidator to close my company?

For a mainland company with partners, yes. The shareholders name a liquidator in their resolution, and in Dubai the liquidator provides an acceptance letter and a final report. Free zone authorities set their own rules on when a liquidator's report is needed. Your consultant confirms what your authority asks for.

How is closing a free zone company different from a mainland one?

The steps are similar but the authority is different. A free zone company applies to its own free zone authority, which has its own forms, clearances and notice rules and issues the final deregistration certificate. A mainland company deals with the economic department of its emirate, the notary and the federal bodies for labour and immigration.

Do I have to deregister for tax when the company closes?

Yes. A company applies to the Federal Tax Authority for corporate tax deregistration within three months of ceasing, and for VAT deregistration if it is registered. Final returns must be filed and any tax paid first. Deregistration does not happen automatically when the licence is cancelled.

What happens to employee visas when a company closes?

They are cancelled as part of the closure. Each employee's work permit and residence visa is cancelled and their end of service entitlements are paid, then the company's establishment card is closed. The licence cannot be cancelled while labour and visa files remain open under the company.
